These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and CalculatorDesk ("we," "us," or "our") governing your access to and use of our calculator services, website, and related applications (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

2. Description of Service

2.1 What We Provide

CalculatorDesk provides web-based calculator tools designed to assist with mathematical computations in various categories, including but not limited to:

• Financial calculators (percentage, mortgage, loan, ROI, salary)
• Health and fitness calculators (BMI, macro calculator)
• Unit conversion tools (length converter)
• Date and time calculators (age calculator)
• Other mathematical utility calculators

2.2 Subscription Tiers

The Service is offered in three subscription tiers:

Free Plan - $0/month

• Access to 15 basic calculators
• Local browser storage for last 10 calculations (30 days)
• Ad-supported experience
• Share calculations via link
• No credit card required

Plus Plan - $3.99/month

• All Free Plan features
• Ad-free experience
• 6-month cloud storage for calculation history
• Save favorite calculations
• Export to PDF
• Email support (48-hour response time)

Pro Plan - $9.99/month

• All Plus Plan features
• Access to all 30 calculators (expanded library)
• Unlimited cloud storage for calculation history
• Export to CSV format
• Add notes and tags to calculations
• Priority support (24-hour response time)

2.3 Service Availability

We strive to maintain 99.9% uptime, but we do not guarantee uninterrupted access to the Service. We may:

• Perform scheduled maintenance with advance notice
• Make emergency updates or repairs without prior notification
• Temporarily suspend the Service for security reasons or technical issues

3. Account Terms

3.1 Eligibility

To use the Service, you must:

• Be at least 18 years old, or the age of legal majority in your jurisdiction
• If under 18, have obtained verifiable parental or guardian consent
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using the Service under applicable laws
• Provide accurate and complete registration information

3.2 Account Creation and Security

When you create an account, you agree to:

• Provide Accurate Information: Keep your account information current and accurate
• Maintain Security: Choose a strong password and keep it confidential
• Account Responsibility: You are responsible for all activities under your account
• Notify Us: Immediately report any unauthorized access or security breaches
• One Account: Maintain only one active account per person

3.3 Account Termination by You

You may terminate your account at any time by:

• Accessing your account settings and deleting your account
• Contacting our support team at support@calculatordesk.com

Upon account deletion, your personal data will be removed in accordance with our Privacy Policy.

4. Subscriptions and Billing

4.1 Subscription Terms

Paid subscriptions (Plus and Pro) are subject to the following terms:

• Billing Cycle: Subscriptions are billed monthly in advance
• Auto-Renewal: Your subscription automatically renews each billing period unless you cancel
• Payment Due: Payment is charged on the same day each month
• Currency: All prices are in USD unless otherwise stated
• Taxes: Prices exclude applicable taxes, which will be added at checkout where required

4.2 Payment Processing

Payment processing services will be provided through a secure third-party payment processor. When payment processing becomes available, this section will be updated with specific details about:

• Accepted payment methods (credit cards, debit cards, etc.)
• Payment security measures and PCI DSS compliance
• Billing cycle dates and payment schedules
• Failed payment retry procedures

Note: Payment processing is not yet implemented. This is a placeholder for future functionality.

4.3 Price Changes

We reserve the right to modify subscription pricing:

• We will provide at least 30 days advance notice of price increases
• Your existing subscription price is guaranteed until the end of your current billing period
• New prices apply to renewals after the notice period
• You may cancel your subscription before the new price takes effect

4.4 Failed Payments

If a subscription payment fails:

• We will attempt to re-process payment up to 3 times over 10 days
• You will receive email notifications about failed payments
• Your account may be downgraded to Free tier if payment cannot be collected
• You are responsible for ensuring valid payment information

5. Cancellation and Refunds

5.1 Cancellation Process

You may cancel your subscription at any time by:

• Accessing your account settings and clicking "Cancel Subscription"
• Contacting support at support@calculatordesk.com

5.2 Effect of Cancellation

Upon cancellation:

• Your subscription will remain active until the end of your current billing period
• You will not be charged for subsequent billing periods
• You retain access to paid features until the subscription expires
• After expiration, your account automatically downgrades to Free tier
• Your data is retained according to Free tier policies (local storage only)

5.3 Refund Policy

All subscription fees are non-refundable. No refunds or credits will be issued for:

• Partial months of service
• Subscription renewals
• Cancellations mid-billing period
• Upgrades or downgrades between plans

You may cancel your subscription at any time to prevent future charges, but you will not receive a refund for the current billing period.

Note: EU consumers retain statutory rights under applicable consumer protection laws, including withdrawal rights where applicable.

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in compliance with these Terms. You agree NOT to:

6.1 Prohibited Activities

• Automated Access: Use bots, scrapers, or automated tools to access the Service without permission
• Reverse Engineering: Decompile, disassemble, or reverse engineer any part of the Service
• Reselling: Resell, sublicense, or redistribute access to the Service
• Account Sharing: Share your account credentials with others
• Multiple Accounts: Create multiple accounts to circumvent restrictions or obtain additional free trials
• Illegal Activity: Use the Service for any illegal purpose or to violate any laws
• Harmful Content: Upload viruses, malware, or other harmful code
• Service Disruption: Interfere with or disrupt the Service or servers
• Data Mining: Extract or harvest data from the Service using automated means
• Circumvention: Bypass any security measures or access controls

6.2 Enforcement

Violations of this policy may result in:

• Warning or temporary suspension of your account
• Immediate termination of your account without refund
• Legal action to recover damages or enforce these Terms
• Reporting to law enforcement authorities when appropriate

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Service and all content, features, and functionality are owned by CalculatorDesk and are protected by:

• Copyright, trademark, and other intellectual property laws
• International treaties and conventions

This includes but is not limited to:

• Calculator algorithms and computational logic
• Website design, layout, and user interface
• Text, graphics, logos, images, and other content
• Software code, databases, and technical infrastructure
• CalculatorDesk brand name, trademarks, and service marks

7.2 License to Use Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Service for personal or internal business purposes
• Use calculator tools to perform mathematical computations
• Store and export your calculation results (subject to tier limitations)

This license does NOT permit you to:

• Copy, modify, or create derivative works from the Service
• Reproduce or republish any part of the Service
• Remove or alter any copyright, trademark, or proprietary notices
• Use the Service to build a competing product or service

7.3 Your Data and Content

You retain all rights to your data, including:

• Calculator inputs and results you create using the Service
• Notes, tags, or other content you add to your calculations

By using the Service, you grant us a limited license to:

• Store and process your data to provide the Service to you
• Use aggregated, anonymized data for service improvement and analytics

We do not claim ownership of your individual calculation data.

8. Disclaimers and Limitations of Liability

• We strive for accuracy but make no warranties regarding the completeness, reliability, or accuracy of any calculations
• Calculator results are estimates and may contain errors or inaccuracies
• Users must verify all results independently before making any decisions
• We are not liable for any damages arising from reliance on calculator results

8.3 Not Professional Advice

8.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALCULATORDESK SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from errors or inaccuracies in calculator results
• Unauthorized access to or use of our servers or your data
• Service interruptions, bugs, or technical issues
• Actions of third-party services (payment processors, analytics providers)

Maximum Liability Cap: Our total liability to you for all claims arising from or relating to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

8.5 Jurisdiction-Specific Rights

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability will be limited to the maximum extent permitted by law. EU consumers have statutory rights that cannot be excluded or limited by these Terms.

9. Indemnification

You agree to indemnify, defend, and hold harmless CalculatorDesk, its operators, affiliates, and service providers from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your violation of any third-party rights
• Any reliance on calculator results for financial, medical, or legal decisions
• Unauthorized access to your account resulting from your failure to safeguard credentials

10. Termination

10.1 Termination by Us

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for:

• Violation of these Terms or our Acceptable Use Policy
• Fraudulent or illegal activity
• Non-payment of subscription fees
• Abusive behavior toward our staff or other users
• Inactivity for extended periods (Free accounts only, with notice)
• Any reason at our sole discretion

10.2 Effect of Termination

Upon termination of your account:

• Your right to access and use the Service immediately ceases
• We may delete your account and all associated data after 90 days
• Paid subscriptions terminated by us may be eligible for pro-rata refunds
• Sections of these Terms that by their nature should survive termination will remain in effect (intellectual property, disclaimers, limitations of liability, indemnification, governing law)

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the European Economic Area (EEA) country where CalculatorDesk is operated, without regard to its conflict of law provisions.

11.2 Jurisdiction

Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in the EEA country where CalculatorDesk is operated.

EU consumers retain the right to bring proceedings in the courts of their country of residence.

11.3 Alternative Dispute Resolution (EU)

In accordance with EU Regulation 524/2013, we inform EU consumers about the European Online Dispute Resolution Platform:

We are not obliged to participate in dispute resolution procedures before consumer arbitration boards, but are willing to do so.

11.4 Informal Resolution

Before filing any formal legal action, please contact us at legal@calculatordesk.com to attempt to resolve the dispute informally. Many disputes can be resolved quickly and amicably through direct communication.

12. Changes to These Terms

12.1 Right to Modify

We reserve the right to modify these Terms at any time. When we make changes:

• Material Changes: We will notify you by email or prominent notice on the Service at least 30 days before the effective date
• Non-Material Changes: We will update the "Effective Date" at the top of this page
• Review Responsibility: You are responsible for reviewing these Terms periodically

12.2 Acceptance of Changes

Your continued use of the Service after changes to these Terms constitutes acceptance of the modified Terms. If you do not agree to the changes, you must:

• Stop using the Service
• Cancel your subscription (if applicable)
• Delete your account

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and CalculatorDesk regarding the Service.

13.2 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.

13.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any affiliate or successor in interest.

13.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, riots, internet service provider failures, or governmental actions.

13.6 Relationship of Parties

These Terms do not create any partnership, joint venture, employment, or agency relationship between you and CalculatorDesk.
